CONSULTANCY AGREEMENT

 

THIS AGREEMENT is made on the __th day of _________ 200__.

THIS AGREEMENT is between:

(Party A) Holly Hazen; and

(Party B) _________________ Insert new client name here

BACKGROUND:

Holly Hazen provides the following services, as requested on attached quote, on behalf of client stated as party B:

  • Training on MYOB accounting software package if required.

  • Bookkeeping, data entry, account reconciliation: bank, debtors, creditors, etc.

  • BAS preparation (manual or electronic).

  • Liaising with accountants and the tax office.

ENGAGEMENT:

Party B confirms the engagement of Holly Hazen as an independent contractor to provide the above services in connection with the Business on the conditions set out in this agreement and Holly Hazen accepts that engagement as per attached quote.

OBLIGATIONS:

Holly’s obligation is to provide the above services as per business’ request and confirmed on attached quote.

It is party B’s obligation to post all documentation to Holly on a timely basis, provide couriers when required and email all required data for input monthly.

PAYMENT:

COD and Net 7 days. Current rate per hour is $70.00. No further rate increase will be considered for the next two years from 1st July 2004 except under extraordinary circumstances.

One week notice is required for cancellations on scheduled days to work or a minimum 3 hour charge will be incurred. One week notice for additional time required to work extra hours or days would be appreciated.

CONFIDENTIAL INFORMATION:

Both parties agree that:

  • They possess technical information, trade secrets, know how and intellectual property rights relating to their business and processes ("Confidential Information").

  • In the course of this agreement, they may have access to certain aspects of each other’s Confidential Information.

  • In the course of this agreement, each party may also have access to information of a confidential nature belonging to each other’s clients and in respect of which it is required to maintain confidentiality ("the Client Confidentiality Information").

  • The disclosure by either party of any of the Confidential Information or the Client Confidential Information is likely to seriously damage the reputation, business and goodwill of the other party or its clients.

Each party agrees that at all times during the term of this agreement and after the termination of this agreement it will keep strictly confidential all Confidential Information and the Client Confidential Information.

Neither party shall disclose to any person, publish, copy or reproduce any Confidential Information or the Client Confidential Information without prior permission of the other party or its clients as the case may be.

Upon termination of this agreement each party agrees to return to the other party all documents, tapes, records, programs, disks, memoranda, data, manuals, and all other papers, information and documents that are in the possession or under their control relating in any way to Confidential Information or Client Confidential Information or any other matter relating to the other party’s business activities or affairs.

EXPENSES:

Any expenses reasonably incurred by Holly Hazen while performing the services requested will be paid for or reimbursed by party B according to invoices.

RELATIONSHIP:

Party B confirms that it has entered this agreement as an independent contractor and that nothing in this agreement will constitute the relationship of employer and employee, principal and agent, or of partnership between the parties.

Party A and Party B agree to treat as confidential: The details of the services and the terms of this agreement.

TERM AND TERMINATION:

The term of this agreement shall be at the pleasure of both parties and further stated in the quote provided.

RESOLUTION OF DISPUTES:

Both parties agree that if any dispute or difference arises out of or in relation to this agreement, the parties will attempt first to resolve the dispute in a spirit of good faith and on a commercially realistic basis by negotiating or using independent mediation.

Quote in regards to the

Consultancy Agreement with

Holly Hazen and new client Pty Limited

As at __th ________ 2005

A normal 3 hour training session will cost $210.00.  No GST is included in this service.

This training session will cover the modules we discussed. Depending on your current understanding of MYOB and learning curve, the time required per session will vary.

We will cover some of the following:

Weekly:

  • Payroll with complete maintenance of records: annual leave, sick pay, time in lieu and HECS amounts. Employee entitlement forms have been designed and are updated quarterly. Printing of required reports and pay advices.

  • Bank reconciliations, electronic pay accounts, any required reconciliations.

  • Maintenance of data file and back-ups.

Monthly:

  • Invoicing – includes updating the excel spreadsheet with numerous pivot tables, printing patient details, and all accompanying documentation required.

  • Accounts Payable & Cheque Run. All associated statement reconciliations.

  • Payroll Tax reconciliation and payment submission.

  • PAYG reconciliations and IAS forms.

  • Petty Cash reconciliation.

  • Printing of Balance Sheet and Profit and Loss Reports.

  • All payment submissions over internet.

  • Quarterly:

  • Superannuation payment reconciliations. Supplying letters to employees and appropriate documentation to Superannuation Companies as required.

  • All reconciliations leading to BAS return completion.

  • Update employee entitlements forms.

  • Monthly reporting and any miscellaneous requests by you.

  • Year – End:

  • PAYG Summaries to employees and ATO reporting requirements. PAYG Annual Report reconciliation.

  • Rollover of payroll year and set up new tax tables. Renewing all associated reports.

  • All required reconciliations.

  • Fulfil all accountants’ requests as required. Journal entries, complete and rollover prior year, etc.

  • Backup requirements:

  • Optimise, verify, zip and archive MYOB data files and final monthly Invoicing.

  • Update excel spreadsheets from your company’s program, where required.

  • Performed daily, weekly, monthly or yearly as required.

  • My rate is $70.00 per hour.
